By accessing and using cleaniq services, you indicate that you have read and agreed to these Terms and conditions. The following Terms and Conditions, govern your access to and use of cleaniq app(s) and Cleaniq.in website (“Website”), a platform offering queue management services for clinics and hospitals.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING CLEANIQ PLATFORMS AND THE WEBSITE.

By accessing or using Cleaniq services you accept or agree to these Terms and Conditions. You signify your agreement to and intent to be bound by these Terms and Conditions. These Terms and Conditions apply to all users of CleaniqServices. If you do not agree to these Terms and Conditions, you must not access or use any Cleaniq Platform or any information contained herein.

THE SERVICES:

The Services are provided for your convenience only, without any obligation by Cleaniq to provide any technical support or any other type of assistance. It is IMPORTANT TO NOTE as a User, Cleaniq is NOT RESPONSIBLE for actions taken by doctors and/or their staff.

Cleaniq is a technology platform that enables users to manage their queue at clinics and hospitals. Cleaniq does not provide any kind of medical advice, diagnosis, or treatment. Any content or communication facilitated through the platform, including appointment booking or queue status, is strictly between the user and the healthcare provider. You understand and acknowledge that Cleaniq is not a medical service provider, and all medical decisions, advice, and outcomes are solely the responsibility of the respective doctors or healthcare institutions.

ELIGIBILITY:

Cleaniq services are intended solely for Users who are 18 years of age or older. Any access to or use of the Cleaniq services by anyone under 18 is expressly prohibited. By accessing or using the Cleaniq services you represent and warrant that you are 18 years of age or older.

USER SUBMISSIONS:

By accessing and using our platform, you acknowledge that you are responsible for your actions and for all submissions you make into our platforms. You represent and warrant, to the best of your knowledge:

• That you have all necessary right, power and authority to enter into these General User Terms and to fulfill your contractual obligations hereunder;
• That any and all information you post or provide, including, without limitation, as part of any registration or application or to gain access to the Cleaniq services, is true, accurate and not misleading and that you will not allow any other person or entity to use your Account;
• That the information and Submissions you upload, post, e-mail, transmit, or otherwise make available to us or on Cleaniq platforms, including without limitation reviews, trademarks, logos and screenshots, is accurate and free of third-party encumbrances;
• That you will not post or otherwise submit anything that is unlawful, tortious, malicious, defamatory, infringing, libelous, abusive, disparaging, pedophilic, pornographic, obscene, invasive of another’s privacy, promotes illegal activities/conduct or violates local, state, national or other applicable laws or regulations;
• That you will not post or otherwise provide Submissions that you do not have the right to make available under any law or contractual or fiduciary relationship (such as insider information, proprietary and confidential information learned or disclosed as part of employment relationships or information protected under nondisclosure agreements);
• That you will not post or otherwise provide Submissions that contains a software virus or any other code files or programs with the ability to interrupt, destroy, compromise, or otherwise limit the functionality of any computer software or hardware or telecommunications equipment;
• That you will not duplicate, download, publish, modify or otherwise distribute Our Content for any purpose other than for your own individual use;
• That you will not collect or “harvest” from Cleaniq platforms the personal information (“Information”) of other Users without their consent for the purpose of transmitting unsolicited commercial mass mailings, “spamming” or for any other unlawful purpose; and
• That you will not access Cleaniq services by any means other than through interfaces expressly authorized by us and these General User Terms.

At our discretion, we may, but are not obligated to, monitor and terminate User activity on Cleaniq platforms, and/or edit or remove Submissions, which violates or otherwise fails to comply with these General User Terms.

CHARGES:

As per our current pricing policies, we DO NOT charge anything from the patients. However, Individual Doctors and Hospitals have an obligation to pay us. However, we reserve the right to charge a fee and change our policies from time to time.

INTELLECTUAL PROPERTY RIGHTS:

Cleaniq platforms has Content created by us, our Partners and our Users. This section sets out the ownership and usage rights for each type of Content.

Listed company names are the service marks and trademarks of their respective companies.

Our IP:

Cleaniq platforms and all intellectual property rights therein, including without limitation the vendor listings we create from publicly available or licensed Content, along with our Services and/or our domain names, constitute the property of Cleaniq, its Affiliates and/or its authorized licensors, and are protected by international copyright, trademark and other intellectual property laws.

We grant to User a worldwide, revocable, royalty-free, non-exclusive license to use, view and download the CleaniqApp for User’s personal, non-commercial use in accordance with these General User Terms, the Community Guidelines and applicable India and international copyright laws.

Except to the extent otherwise expressly permitted under copyright law, User will not copy, reproduce, modify, use, distribute, display, create derivative works of or otherwise exploit the Cleaniq IP without the express written consent of Cleaniq or the applicable copyright owner.

Prohibited Uses:

You agree not to access, monitor, or copy any content or information from Cleaniq platforms using any robot, spider, scraper, deep-link, or other automated means or manual process for any purpose without our express written permission.
You further agree not to:

• Reverse engineer, decompile, or disassemble any part of the Cleaniq services;

• Circumvent any security measures or attempt to gain unauthorized access to any part of the platform;

• Use any device, software, or routine that interferes with the proper working of the Cleaniq platforms.

User IP:

User certifies that User owns or has secured all necessary intellectual property rights in the Content that User uploads, posts, e-mails, transmits or otherwise makes available to us or on Cleaniq platforms, including without limitation User Reviews (“User IP”), and User further agrees to be liable for all such User IP.

By posting User IP (including User Reviews) on Cleaniq platforms or otherwise submitting to User IP to us, User grants to us, our Affiliates and Partners a perpetual, worldwide, irrevocable, nonexclusive, royalty-free and fully sub-licensable right to use, reproduce, translate, modify, create derivative works of, publicly display, communicate and distribute (either electronically or via other media now known or hereafter devised) the User IP in the ordinary course of our business.

All intellectual property rights not expressly granted hereunder are expressly reserved to us.

COPYRIGHT INFRINGEMENT CLAIMS:

We respect the intellectual property rights of others and will not tolerate infringing activity on Cleaniq platforms.

If you are a copyright owner or agent, and you believe your rights under applicable Copyright laws are being infringed by us or another person or entity using our Cleaniq services, you may submit to our Designated Copyright Agent a written notification pursuant to the Copyright Act, which includes the following information:

• A physical or electronic signature of a person authorized to act on behalf of the owner of the work(s) that has/have been allegedly infringed;
• Identification of the work or material being infringed, or, if multiple works are covered by a single notification, a representative list of such works;
• Your contact information, including phone number and e-mail address at which you may be contacted;
• Your good faith statement that the use of the work or material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
• A statement that the information in your notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the allegedly infringed copyright.

We reserve the right to seek damages from any person who knowingly, materially submits a notification claim under this section in violation of the law.

DATA PROTECTION:

Each of us and User agrees, in fulfilling its respective obligations under these General User Terms, to comply with all applicable data privacy legislation and with the terms of our Privacy Policy, which describes how we collect, use and safeguard your personal information (Information) to administer your Services and Site experience. By communicating with us via e-mail or by submitting content, including reviews or any other transactional exchange on Cleaniq platforms, you consent to receive e-mail or other electronic communications from us and our Affiliates. We also take Security seriously and endeavor through the use of industry standard technical, physical and operational controls to ensure that our Services and apps are compliant with all applicable laws.

Communication Consent:

By using Cleaniq services, you expressly consent to receive SMS notifications from us, including but not limited to login verification codes, transactional messages, and important service updates related to your account and activity on the Cleaniq platform. These communications are considered essential to the functioning of the service and may not be opted out of unless you choose to discontinue use of Cleaniq services.

REPRESENTATIONS & WARRANTIES:

User represents and warrants to the best of its knowledge: (i) that it has all necessary right, power and authority to enter into these General User Terms and to fulfill its contractual obligations hereunder; (ii) that the information that it uploads, posts, e-mails, transmits, or otherwise makes available to us or on Cleaniq platforms, including without limitation content, reviews, screenshots, is accurate and free of third party encumbrances; (iii) that it has not breached any third party rights, including without limitation: intellectual property, publicity or privacy, consumer protection, tort and product liability rights; (iv) that it complies with all applicable security standards and is free from any viruses, including without limitation malware or Trojan horses; and (v) that it complies with all applicable laws, statutes, ordinances and regulations.

DISCLAIMER:

YOUR USE OF OUR CLEANIQ SERVICES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR CLEANIQ SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, ACCURACY OF INFORMATIONAL CONTENT OR SYSTEM INTEGRATION. WE DO NOT WARRANT THAT CLEANIQ PLATFORMS WILL BE SECURE, AVAILABLE OR OPERATE IN AN UNINTERRUPTED OR ERROR-FREE MANNER; THAT ERRORS OR DEFECTS WILL BE CORRECTED; OR THAT THE CONTENT ON CLEANIQ PLATFORMS IS ACCURATE OR APPROPRIATE FOR YOU AND YOUR BUSINESS NEEDS.

INDEMNIFICATION:

Each of us and User (in its capacity as “Indemnitor”) agrees to indemnify, defend and hold harmless the other party, its agents, affiliates and employees (in its capacity as “Indemnitee”) from and against any and all third party claims, liabilities, losses and expenses (including damage awards, settlement amounts and reasonable attorneys’ fees) arising out of or relating to a violation of these General User Terms, except to the extent such losses and expenses arise from the negligence or willful misconduct of Indemnitee.

TERMINATION:

Termination by Us:

We reserve the right in our sole discretion, without penalty and at any time without notice, to modify or discontinue (temporarily or permanently) User’s access to our Cleaniq services, or any part thereof if we believe that User is violating these General User Terms. If User uses or attempts to use Cleaniq platforms and/or Services for any purpose that contravenes these General User Terms (including without limitation tampering, hacking, data scraping, modifying or otherwise corrupting the security or functionality of our Cleaniq services), User may also be subject to civil and criminal liability.

Termination for Convenience

By User:

User may terminate its User Account at any time by communicating to us. We will endeavor to remove your User Account. While you still may be able to access certain portions our Cleaniq services following termination of your Account, you will no longer have access to the full functionality. 

By Us: We may in our sole discretion terminate your User Account, or impose limits on or restrict your access to parts or all of Cleaniq platforms and/or Services at any time, without notice or liability.

ENTIRE AGREEMENT:

These General User Terms constitute the entire and exclusive agreement between the parties with respect to the subject matter hereof; and supersede, replace and/or nullify any conflicting or additional terms.

Limitation of Liability

NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS AND CONDITIONS, IN NO EVENT SHALL CLEANIQ BE LIABLE TO SUPPLIER OR TO ANY OTHER PERSON OR ENTITY WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS AND CONDITIONS, UNDER ANY EQUITY, COMMON LAW, TORT, CONTRACT, ESTOPPEL, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY, FOR ANY:
(A) INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR INDIRECT DAMAGES;
(B) DAMAGES RESULTING FROM LOSS OF SALE, BUSINESS, PROFITS, DATA, OPPORTUNITY OR GOODWILL, EVEN IF THE REMEDIES PROVIDED FOR IN THESE TERMS AND CONDITIONS FAIL OF THEIR ESSENTIAL PURPOSE AND EVEN IF CLEANIQ HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE FOREGOING DAMAGES;
(C) DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
(D) DAMAGES ARISING OUT OF INTERRUPTIONS, SUSPENSIONS OR TERMINATION OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO TECHNICAL FAILURES, NETWORK OUTAGES, OR SYSTEM ERRORS; OR
(E) DAMAGES DUE TO ACTS OR OMISSIONS OF THIRD PARTIES INCLUDING DOCTORS, CLINICS, OR ANY SERVICE PROVIDERS LISTED ON THE PLATFORM.

CLEANIQ’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED INR 1,000 (ONE THOUSAND RUPEES) OR THE AMOUNT YOU HAVE PAID US IN THE LAST SIX MONTHS, WHICHEVER IS LOWER.

MODIFICATIONS TO THESE TERMS OF USE:

We may, at any time, and at our sole discretion, modify these Terms and Conditions of Use, with or without notice to the User. Any such modification will be effective immediately upon public posting. Your continued use of our Cleaniq services following any such modification constitutes your acceptance of these modified Terms and Conditions.

Cleaniq may from time to time send updates to you as our user which may be automatically reflected on our Cleaniq platforms. Such updates might include but not limited to feature enhancements or improvements, or fixing bugs. As a user of Cleaniq, you accept that Cleaniq might automatically deliver such updates and you are bound to install them as required in these Terms and Conditions.

GOVERNING LAW AND JURISDICTION:

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.
